  1. Acceptance of Terms

By accessing and using the services provided by Paddot Marketing Agency (“Paddot”, “us”, “we”, or “our”), you agree to be bound by these Terms and Conditions of Service (“Terms”). These Terms apply to all clients, users, and others who access or use our services. If you do not agree with these Terms, you should not access or use our services.

  1. Services

Paddot offers various marketing services, including branding, social media marketing, SEO, web development, and other related services. We reserve the right to modify, suspend, or discontinue our services at any time without prior notice.

  1. Payment and Fees

Payment for our services must be made in accordance with the agreed-upon payment terms as stated in the applicable proposal or contract. Late payments may be subject to additional fees or suspension of services.

  1. Client Responsibilities

The client is responsible for providing accurate and complete information, materials, and resources required for the successful completion of the project. The client must also comply with any applicable laws and regulations related to the project.

  1. Intellectual Property

All intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, in work created by Paddot during the course of the project will be owned by Paddot until full payment is received from the client. Upon receipt of full payment, Paddot will transfer ownership of the final work product to the client.

  1. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the project. Confidential information includes, but is not limited to, trade secrets, business plans, marketing strategies, and financial data.

  1. Limitation of Liability

In no event shall Paddot be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the services provided. Paddot’s total liability for any claim or action related to the services shall be limited to the amount paid by the client for the services that gave rise to the claim or action.

  1. Indemnification

The client agrees to indemnify, defend, and hold harmless Paddot and its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with the client’s breach of these Terms or the services provided by Paddot.

  1. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Paddot is located. Any disputes arising out of or in connection with these Terms or the services provided by Paddot shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.

  1. Changes to Terms

Paddot reserves the right to update or modify these Terms at any time without prior notice. Clients are responsible for regularly reviewing these Terms. Continued use of our services after any such changes constitutes acceptance of the new Terms.
